who submitted a statement of intent to exchange shares of Południowy Koncern Energetyczny S.A. as the consolidated company for shares of TAURON Polska Energia S.A. as the consolidating company.
Pursuant to regulations of the act of 7 September, 2007 on principles of acquiring shares from the State Treasury in the consolidation process of companies of the electric power sector (Dz. U. No. 191 Item 1367), the authorised shareholders referred to in Art. 2 Item 4 of the aforementioned act are entitled to exchange held shares of Południowy Koncern Energetyczny S.A. as the consolidated company for shares of TAURON Polska Energia S.A. as the consolidating company provided that they submit a written statement within the ascribed term.
Pursuant to § 14, Ordinance of the Ministry of the State Treasury (19 February, 2008) on determination of the number of shares of the consolidating company consisting of the exchange and the course of exchanging shares or allotment certificates of the consolidated company for shares of the consolidating company, a list of authorised people was drawn up, containing first name(s), surname and father’s name of each of those who submitted statements regarding the intent to exchange shares. The list is post up from 5 September, 2008 to 19 September, 2008 (for 14 days) in the registered office of PKE S.A. and in all its branch offices.
People not included on the list or whose name(s), surname or father’s name contain any mistakes are entitled to submit a written complaint in 14 days after posting up the list. Complaints are to be submitted in the consolidated company, i.e. PKE S.A. in Katowice, ul. Lwowska 23, room 504 – the General Office.
Other personal data will be verified upon signing share exchange agreements. Complaints are examined by a commission appointed by PKE S.A. through a Management Board resolution no. 142/IV/2008 of 29.08.2008, in 14 days after submission. Complaints need to be accompanied documents confirming conformity with conditions pertaining to exchange of shares of the consolidated company for shares of TAURON Polska Energia S.A. Consideration of a complaint fulfils the course of complaint proceedings.
