Extraordinary General Meeting of Shareholders of PKE in Session
On 20 December 2007 – at the Extraordinary General Meeting of Shareholders – the composition of the Supervisory Board of Południowy Koncern Energetyczny was supposed to change. However, the representative of the majority shareholder, Tauron Polska Energia, motioned for a adjourning the session till 16 January 2008 due to the changes made yesterday in the composition of that company’s Management Board (on 19 December, the Supervisory Board dismissed two Vice-Presidents: Filip Grzegorczyk and Bartosz Krzemieniewski).
As the PKE’s Articles of Association state, the Supervisory Board may have up to 12 members (six representatives of the holder of 85% of the company’s shares, i.e. Tauron Polska Energia, one representative of the State Treasury and five representatives of the personnel), but it has been working with only 10 members for several weeks now. In September and November, two representatives of Tauron filed their letters of resignation (in November – the Chairman Filip Grzegorczyk).
Presently, the Supervisory Board of PKE retains the following composition: Ireneusz Komoszyński, Katarzyna Mikołajczyk, Zbigniew Rawiński, Wiesław Włodek (all of them standing for Tauron Polska Energia), Lidia Pyzik-Sonik (State Treasury), Andrzej Dziubany, Tadeusz Gadaczek, Kazimierz Kasprzak, Eugeniusz Lizończyk and Marian Kasperczyk (standing for PKE’s employees).
